In these Terms and Conditions: - "Supplier" means Vedanta Engineering Pty Ltd. - "Buyer" means the person, firm or company purchasing goods and/or services from Vedanta Engineering Pty Ltd. - "Goods" means all goods or services supplied by Vedanta Engineering Pty Ltd to the Buyer. - "Agreement" means these Terms and Conditions of Sale.
2.1. These Terms and Conditions apply to all sales of Goods by Vedanta Engineering Pty Ltd unless otherwise agreed in writing. 2.2. Any terms or conditions proposed by the Buyer that conflict with or are in addition to these terms are rejected unless explicitly accepted by Vedanta Engineering Pty Ltd in writing.
3.1. Prices are quoted in AUD and exclude GST unless otherwise stated. 3.2. Payment terms are strictly as provided by Vedanta Engineering Pty Ltd unless otherwise agreed in writing. 3.3. Vedanta Engineering Pty Ltd reserves the right to charge interest on overdue amounts at 4% per month calculated daily. 3.4. All payments must be made without deduction or set-off.
4.1. Delivery dates are estimates only and are not binding. 4.2. Risk in the Goods passes to the Buyer on delivery. 4.3. The Buyer shall inspect Goods upon delivery and notify Vedanta Engineering Pty Ltd in writing within 7 days of any issues.
5.1. Title to all Goods remains with Vedanta Engineering Pty Ltd until full payment has been received. 5.2. Until title passes: - The Buyer must store Goods separately and clearly identify them as the Supplier’s property. - The Buyer shall not sell, dispose, or encumber the Goods without the Supplier’s written consent.
6.1. No returns will be accepted without prior written approval from Vedanta Engineering Pty Ltd. 6.2. Return of non-faulty items may be subject to a [e.g., 15%] restocking fee. 6.3. Orders cannot be cancelled after processing the purchase order unless agreed by Vedanta Engineering Pty Ltd.
7.1. The Vedanta Engineering Pty Ltd warrants that the Goods supplied will conform to the agreed specifications at the time of delivery. 7.2. Except as required by Australian Consumer Law or otherwise agreed, all other warranties are excluded. 7.3. Vedanta Engineering Pty Ltd's liability is limited to the repair or replacement of the Goods, or a refund, at its discretion. 7.4. Vedanta Engineering Pty Ltd is not liable for any indirect or consequential loss or damage.
Vedanta Engineering Pty Ltd will not be liable for failure to perform or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, government restrictions, pandemics, strikes, or transport delays.
If the Buyer is a company or trust, Vedanta Engineering Pty Ltd may require personal guarantees from directors or trustees, who shall be jointly and severally liable for all amounts owed.
These Terms are governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of its courts.
